1. About these terms
The reseller programme is run by Sumeet Synfab India Pvt. Ltd., trading as Sumeet Wholesale (GSTIN 22AAHCS7997Q3Z8, CIN U17121CT2000PTC014282), Daldal Seoni Main Road, Mowa, Raipur, Chhattisgarh 492010. In these terms, "we" and "us" mean Sumeet Wholesale, and "you" means the reseller.
These terms add to the general terms of our main website. Where the two differ, these terms apply to resellers.
2. Who can resell
We supply trade buyers only: shops, boutiques, online and WhatsApp sellers, and institutions. We do not sell single pieces to shoppers.
- You must give your correct name, business name, address and phone number.
- A valid PAN is needed, and GST registration may be required. We may ask for proof of your business.
- We may accept or decline an application, and we do not have to give a reason.
3. Catalogues and stock
Catalogues, photos and descriptions are for reference. Colours may vary slightly from screen to fabric, and stock changes daily. A design shown in a catalogue is not reserved for you until your order is confirmed.
4. Using our photos
While you are an active reseller, you may share our catalogue photos with your own buyers, only to sell goods that you buy from us.
- Do not edit the photos to remove or change the Sumeet name or logo.
- Do not use our photos for goods bought from another supplier.
- Do not sell or pass our photos to other sellers.
- Stop using our photos when you stop reselling, or when we ask you to.
5. Rates and your selling price
Our wholesale rates are shared with registered resellers and are confirmed only by our team at the time of order. Rates, minimum quantities and availability can change without notice.
You decide your own selling price. You are responsible for any price or promise you give your buyers.
6. Orders and payment
An order is confirmed only when we issue a GST invoice for it. Payment terms are agreed with our team for each order, and goods are dispatched once those terms are met.
An order sent from our order page is a request until our team confirms it with you. While online ordering is on trial, these orders are test orders and no payment is taken on the website.
Please check your order details, quantities and invoice before you pay. Tell us about any mistake on an invoice as soon as you notice it.
7. Dispatch and delivery
Dispatch timelines and transport charges are agreed with our team for each order. We pack goods carefully and hand them to the transporter agreed with you.
Check each parcel when it arrives. If a parcel is damaged or short, tell us promptly with photos and the transport receipt so we can take it up with the transporter.
8. Returns and exchange
Goods once billed are covered by our return and exchange policy, which our team shares at the time of purchase. Returns or exchanges outside that policy are at our discretion.
9. You and your buyers
You resell in your own name and on your own account. You are not our agent, employee, franchise or partner, and you cannot make promises or agreements on our behalf.
Collecting payment from your buyers, delivering to them and handling their returns are your responsibility. Your payments to us do not depend on your buyers paying you.
10. Our name and logo
The Sumeet Wholesale name, logo, photographs and content belong to Sumeet Synfab India Pvt. Ltd. or its partners. You may say that your goods are sourced from Sumeet Wholesale.
- Do not present yourself as Sumeet Wholesale or as part of the Sumeet Group.
- Do not use our logo as your own, or open shops, pages, groups or accounts in our name.
11. Offers and schemes
Festive schemes, such as gift, silver or gold coin offers, have their own conditions, validity dates and stock limits, and may be changed or withdrawn without notice.
12. Tax and compliance
You are responsible for the GST and other taxes, invoices and registrations that apply to your own sales, and for following the laws that apply to your business.
13. Your details
We use the details you give us to review your application, share catalogues and rates, bill and dispatch your orders, and keep our records. We handle them as set out in our privacy policy.
14. Ending the arrangement
You can stop reselling at any time. We may stop supplying you if these terms are not followed, if payments are not made as agreed, or if our name is misused. Orders already invoiced and payments already due remain payable.
15. Liability and law
We work to keep our catalogues and this website accurate but do not guarantee they are free of errors. We may update these terms at any time; the date at the top shows the latest version. These terms are governed by the laws of India, and courts at Raipur, Chhattisgarh have jurisdiction.
